This Master Services Agreement governs all services provided by Starr Power Designs.

Please read below carefully before the purchase of any service or product from Starr Power Designs. 

While individual proposals outline specific services, timelines, and pricing, this agreement establishes the overarching terms, responsibilities, and protections that apply to every engagement. By moving forward with any proposal, booking, or payment, you acknowledge and agree to these terms.

This Agreement outlines the general terms and conditions that govern all services provided by Starr Power Designs. Specific details related to scope, pricing, deliverables, and timelines are defined in individual proposals. By signing a proposal and submitting payment, you agree to be bound by this Agreement.


This Agreement applies to all services, including but not limited to Brand Spark™, Brand Wealth Path services, Brand Illuminator Experience, website design, marketing services, consulting, and one-off creative projects.

Payment Terms


All services are payable in full at the time of booking unless a third-party payment plan option is selected at checkout.

 

Payment constitutes authorization for Starr Power Designs to begin work according to the approved proposal. No work will begin until payment has been successfully processed.

 

Third-Party Payment Plans & Financing

 

Starr Power Designs processes payments through Dubsado Payments, which may offer third-party installment or financing options (including but not limited to Klarna, Afterpay, or similar providers) when available.


If a third-party payment option is selected:
• The payment agreement exists between the Client and the third-party provider
• Starr Power Designs is not responsible for the approval, denial, terms, or enforcement of that agreement
• Work will proceed according to the approved proposal regardless of the Client’s separate repayment arrangement with the third-party provider

 

If no third-party payment option is applicable, the Client may contact Starr Power Designs to request consideration for an alternative payment arrangement. Approval is not guaranteed and may be granted under different terms or constraints at our discretion.

 

Chargebacks, Disputes & Payment Reversals


By submitting payment, the Client acknowledges that:
• All services are custom, time-based, and non-returnable
• Work begins immediately upon payment or scheduling
• Payment disputes or chargebacks do not negate work performed

 

In the event of a chargeback, dispute, or payment reversal initiated through a third-party provider or financial institution, Starr Power Designs reserves the right to submit this Agreement, the signed proposal, delivery records, communications, and completed work as evidence of services rendered.

 

Any disputed amount must be resolved before additional work continues or deliverables are released.

 

Late Payments


Late payment fees apply only to approved in-house payment arrangements.

 

For balances not managed through a third-party provider, a 5% late fee will be applied to payments not received within 5 business days of the due date. All deliverables, access, and final files will be withheld until payment obligations are satisfied in full.

 

Project Timelines & Client Responsibilities


All timelines provided are estimates and are contingent upon:
• Timely submission of required materials
• Client feedback and approvals
• Payment status

 

Delays caused by missing content, approvals, or communication pauses will extend the project timeline accordingly.


For time-sensitive services, including the Brand Illuminator Experience (30-day timeline) and expedited website services (1-week delivery), timelines begin only once all required materials and approvals are received.

Project Abandonment

 

At Starr Power Designs, consistent communication and timely collaboration are essential to the success of any project.

 

A project will be considered abandoned if the Client fails to respond to communications, provide required materials, approvals, or feedback for 15 consecutive business days, despite reasonable attempts to contact them via email or other agreed-upon methods.

 

In the event a project is deemed abandoned:

 

• All payments made remain non-refundable

• The Client remains responsible for any work completed but not yet paid

• Starr Power Designs is not obligated to resume work

• Resuming an abandoned project is at our discretion and may require:

– A restart fee

– Revised timelines

– Updated pricing or scope

 

If a project is not resumed within 15 business days of being marked abandoned, the project may be permanently closed.

Acts of God / Force Majeure (Mutual Protection Clause)
This clause protects both parties.


If either Starr Power Designs or the Client experiences circumstances beyond reasonable control, including but not limited to serious illness, hospitalization, caregiving responsibilities for immediate family members or dependents, natural disasters, theft, emergencies, or major technical failures, both parties agree to communicate as soon as reasonably possible and extend reasonable flexibility with timelines.

 

In such cases:
• No refunds will be issued
• Work will be delivered proportionate to payments made
• A revised timeline will be proposed once circumstances stabilize

 

Failure to communicate may result in delays or project termination under the Project Abandonment policy.

Intellectual Property & Ownership


Upon full payment, the Client is granted ownership rights to the final, approved deliverables outlined in the proposal.


Starr Power Designs retains ownership of:
• Drafts, concepts, sketches, mockups, unused designs
• Strategy documents not explicitly listed as deliverables

 

Starr Power Designs reserves the right to display completed and unused work in portfolios, case studies, marketing materials, and promotional content unless otherwise requested in writing.


The Client confirms that all materials provided are owned by them or licensed for use and agrees to indemnify Starr Power Designs from any third-party claims related to provided content.

Limitation of Liability


Starr Power Designs shall not be liable for indirect, incidental, consequential, or special damages, including lost profits or business interruption.


Client liability is limited to the total fees paid under the applicable proposal.

Governing Law & Severability


This Agreement shall be governed by the laws of the United States. If any provision is found unenforceable, the remaining provisions shall remain in effect.

Entire Agreement


This Agreement, together with the signed proposal, represents the entire understanding between both parties. No verbal agreements or assumptions shall supersede written terms.
